AI Usage, Intellectual Property & Confidentiality Terms
1. Definition of Creative Work
“Creative Work” includes all materials produced by the Straightline Creative Limited, whether draft or final, including but not limited to:
- Logos, brand marks, icons, and identity systems
- Typography, colour palettes, brand guidelines, and style frameworks
- Illustrations, artwork, graphics, and visual assets
- Layouts, mock‑ups, wireframes, and prototypes
- Digital files, source files, layered files, and working documents
- Any derivative or related creative output
2. Prohibition on AI Platform Use
The Client must not upload, submit, feed, or otherwise provide any Creative Work to artificial intelligence systems or machine‑learning platforms—including ChatGPT, ChayGPT, Midjourney, DALL·E, Stable Diffusion, Adobe Firefly, or similar tools—without Straightline Creative Limited’s explicit written consent.
This prohibition applies to all purposes, including:
- Idea generation or brainstorming
- Content rewriting or enhancement
- Image manipulation or variation creation
- Training, dataset inclusion, or model fine‑tuning
- Any automated or algorithmic processing
3. Rationale for Restriction
This restriction protects Straightline Creative Limited’s intellectual property, prevents unauthorised derivative works, and avoids unintended licensing of Creative Work to third‑party AI providers whose terms may grant broad usage rights over uploaded content.
4. Client Responsibilities
All Clients undertaking projects with Straightline Creative Limited agree to:
- Handle all Creative Work as confidential material
- Store files securely and restrict access to authorised personnel only
- Ensure subcontractors, partners, or collaborators comply with these terms
- Notify Straightline Creative Limited immediately if Creative Work is accidentally uploaded to any AI system
5. Consequences of Unauthorised AI Use
If the Client uploads Creative Work to any AI system without consent, Straightline Creative Limited may:
- Suspend all work until the matter is resolved
- Charge additional fees for remediation, replacement, or re‑licensing
- Revoke the Client’s licence to use the Creative Work
- Terminate the agreement without refund
- Seek damages for any loss, misuse, or unauthorised reproduction
6. Conditional Permission (If Granted)
If Straightline Creative Limited provides written permission for AI‑related use, such permission:
- Applies only to the specific purpose stated
- Does not transfer ownership or licensing rights
- Must not allow training, dataset inclusion, or redistribution
- Requires the Client to disclose the AI platform used and its terms of service
- May be revoked at any time if the platform’s policies change
7. Indemnity
The Client agrees to indemnify and hold Straightline Creative Limited harmless against any claims, losses, damages, or liabilities arising from unauthorised AI usage of the Creative Work, including misuse by third‑party AI providers.
8. Survival of Terms
These AI‑related restrictions and confidentiality obligations survive termination of the agreement.
